Agreement to Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “participant,” or “user”) and KIANA NG WELLNESS INC. DBA The Retreat Atelier (“we,” “us,” or “our”).

By accessing our website, purchasing services, or participating in any retreat, event, or offering, you agree to be bound by these Terms. If you do not agree, you must not use our services.

Scope of Services

The Retreat Atelier provides retreat planning, coordination, and hosted retreat experiences, which may include physical activities, workshops, travel-related experiences, and group-based programming.

All services are subject to availability and may be modified, substituted, or discontinued at our sole discretion.

Eligibility

By using our services, you confirm that:

  • You are at least 18 years of age

  • You have the legal capacity to enter into a binding agreement

  • All information you provide is accurate and complete

Bookings, Payments & Pricing

  • All service engagements are subject to acceptance and availability
  • Prices are listed in Canadian Dollars (CAD) and may change at any time prior to confirmation
  • A non-refundable deposit is required to secure your project start date
  • Payment must be made in full or in accordance with an agreed payment plan outlined in your service agreement
  • Payments are processed through third-party providers (e.g., Stripe), and you agree to their terms and policies

Cancellations & Refunds

  • All payments made are non-refundable once work has commenced
  • If you choose to cancel services, you are responsible for payment of all work completed up to that point
  • Failure to complete payments may result in a pause or termination of services without refund

Third-Party Services

  • We may coordinate with third-party vendors (including venues, accommodations, and service providers)
  • All third-party bookings are subject to their own terms and policies
  • We are not responsible for refunds, cancellations, or disputes related to third-party providers

We reserve the right to refuse or terminate services at our discretion.

Participant Responsibilities

You agree that you are solely responsible for your conduct and participation. You further agree to:

  • Provide accurate health, dietary, and personal information

  • Follow all instructions, guidelines, and safety protocols

  • Act respectfully toward staff, facilitators, and other participants

  • Refrain from behavior that is disruptive, unsafe, or inappropriate

We reserve the right to remove any participant, without refund, if their behavior is deemed unsafe, unlawful, or disruptive.

Health & Personal Responsibility

By participating, you acknowledge that:

  • Retreats may involve physical, emotional, and mental exertion

  • You are responsible for determining your own fitness and readiness to participate

  • You have disclosed any relevant medical or health conditions

You agree that participation is voluntary and at your own risk.

Assumption of Risk

You acknowledge and accept that participation in retreats and related activities carries inherent risks, including but not limited to:

  • Physical injury

  • Illness or medical emergencies

  • Travel-related risks

  • Environmental or unforeseen hazards

You voluntarily assume all such risks.

Limitation of Liability

To the fullest extent permitted by applicable law, The Retreat Atelier, its owners, employees, contractors, and partners shall not be liable for any:

  • Direct, indirect, incidental, or consequential damages

  • Personal injury, illness, or death

  • Loss, theft, or damage to personal property

  • Travel disruptions, delays, or third-party failures

This limitation applies regardless of the cause, including negligence, to the extent permitted by law.

Third-Party Providers

We may engage third-party providers (including venues, instructors, transportation services, and vendors).

We do not control and are not responsible for:

  • Their services, actions, or omissions

  • Any loss, damage, or injury arising from their involvement

Your use of third-party services is at your own risk.

Changes, Cancellations & Force Majeure

We reserve the right to:

  • Modify schedules, locations, accommodations, or programming

  • Substitute instructors, facilitators, or venues

  • Cancel or reschedule retreats at our discretion

We are not liable for delays, cancellations, or changes caused by events beyond our reasonable control, including but not limited to:

  • Natural disasters

  • Government actions or restrictions

  • Travel disruptions

  • Illness outbreaks

  • Acts of God or force majeure events

Intellectual Property

All content on our website and within our services—including text, branding, logos, images, videos, and materials—is the exclusive property of The Retreat Atelier.

You may not copy, reproduce, distribute, modify, or use any content without prior written consent.

Media & Content Release

By participating in our retreats or events, you acknowledge that photos and videos may be taken.

Unless you notify us in writing in advance, you grant us the right to:

  • Use, reproduce, and distribute such media

  • Use your likeness for marketing, promotional, and educational purposes

Website Use

You agree not to:

  • Use the website for unlawful purposes

  • Attempt to gain unauthorized access to systems or data

  • Interfere with the website’s functionality or security

We reserve the right to restrict or terminate access for any misuse.

Privacy

Your use of our services is also governed by our Privacy Policy. By using our website and services, you consent to the collection and use of your information as outlined therein.

Indemnification

You agree to indemnify, defend, and hold harmless The Retreat Atelier and its affiliates from any claims, liabilities, damages, losses, or expenses arising from:

  • Your participation in services

  • Your violation of these Terms

  • Your actions or negligence

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada.

Any disputes shall be resolved in the courts of Ontario.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Changes To These Terms

We reserve the right to update or modify these Terms at any time. Continued use of our services constitutes acceptance of those changes.
